These Terms & Conditions govern access to and use of Xrupya, including protected business opportunities, company profiles, supplier quotations, buyer requirements, contribution records and TradeSure transactions.

01 / Acceptance

Agreement to these Terms

By registering for, accessing or using Xrupya, you agree to these Terms & Conditions and to the applicable policies and notices presented through the platform.

If you use Xrupya on behalf of a company or organisation, you confirm that you are authorised to act for that organisation and that these Terms apply to your use on its behalf.

Please read carefully: Xrupya facilitates a structured business opportunity and quotation workflow. Xrupya does not automatically guarantee that a business opportunity will close, that a supplier will be selected, that a quotation will be accepted, or that a transaction will be completed.
02 / The Xrupya Model

What Xrupya does

Xrupya is a protected business network designed to connect genuine business opportunities with relevant participants while controlling sensitive relationship information and keeping the commercial journey traceable.

OpportunityA genuine sales opportunity, buyer need, introduction or business requirement enters the protected network.
ProtectionEligible commercial information is presented while sensitive identity and relationship information can remain controlled.
QuotationSuitable suppliers can review the opportunity and submit commercial terms.
TransactionAn approved award can move into the TradeSure transaction and settlement workflow.
03 / Accounts

Registration and account responsibility

  • You must provide accurate, current and complete information during registration.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must not create an account using another person's identity or use an account without authority.
  • You must promptly update information that becomes inaccurate or materially incomplete.
  • You must use Xrupya only for legitimate business purposes and in accordance with applicable law.
  • Xrupya may restrict or suspend an account where verification, security, compliance or workflow requirements are not satisfied.
04 / Company Verification

Buyer and Supplier company profiles

Buyer and Supplier participants may be required to complete their company profile after registration. Xrupya may review submitted company information before granting access to protected business workflows.

Participants are responsible for providing business information and documents that they are authorised to provide. A verification status does not constitute a guarantee of the company's financial condition, performance, quality or ability to complete a transaction.

Xrupya may return a profile for correction or require additional information where verification is incomplete or information appears inconsistent.

05 / Protected Opportunities

Lead creation and protected publication

Lead Creators or Contributors may submit genuine business opportunities to Xrupya. A lead may contain information about a buyer need, sales opportunity, product or service, location, estimated value and other commercial details.

  • The person submitting a lead must have a legitimate basis for providing the opportunity.
  • False, misleading, duplicated, unlawful or intentionally harmful opportunities must not be submitted.
  • Xrupya may review, revise, reject, approve or publish an opportunity according to its administrative process.
  • Publication does not guarantee supplier interest, quotation, buyer acceptance or transaction completion.
  • Contributor/source information may remain protected from Buyers and Suppliers where the workflow requires controlled disclosure.
06 / Buyer Requirements

Buyer responsibilities

Buyers may publish requirements and review supplier quotations through the protected workflow.

  • Requirements should be genuine, sufficiently clear and submitted for legitimate procurement or business purposes.
  • Buyers should provide accurate commercial information, including relevant product/service, quantity, location, specifications and indicative value where requested.
  • Buyers are responsible for evaluating supplier quotations and making their own commercial selection.
  • Buyers may use available workflow controls such as requesting a revision, rejecting an offer or accepting a suitable offer.
  • Buyer acceptance may create or initiate the applicable TradeSure transaction workflow.
07 / Supplier Quotations

Supplier responsibilities

Suppliers may review eligible protected opportunities and submit quotations through Xrupya.

  • Supplier quotations must be genuine and commercially meaningful.
  • Suppliers must provide accurate pricing, quantity, delivery, warranty, payment and other requested terms.
  • A supplier must not attempt to obtain or reveal protected buyer or contributor information outside the permitted workflow.
  • Submitting a quotation does not guarantee selection or award.
  • Where the workflow permits revisions, a supplier may revise and resubmit according to the applicable opportunity rules.
  • Suppliers remain responsible for fulfilling commitments that they enter into directly with a buyer.
08 / Commercial Decision

Quotation review, L1 and award

Where quotations are ranked by price, the current L1 position may represent the lowest currently valid submitted or shortlisted quotation according to the applicable workflow.

The buyer remains responsible for the commercial decision. A low price or L1 position does not by itself require the buyer to accept an offer. The buyer should consider the complete commercial terms and suitability of the supplier.

An accepted supplier offer may create the relevant award and move the business into the TradeSure transaction process.

09 / TradeSure

Protected transaction workflow

TradeSure is the transaction-oriented stage of the Xrupya concept. After an applicable buyer acceptance or award, the transaction may record the buyer, supplier, order, commercial value and related workflow information.

02 · TransactionApproved business is connected to a transaction record.
03 · OrderBuyer confirms the applicable purchase/order stage.
04 · ApprovalApplicable administrative and commission controls are processed.
05 · SettlementThe transaction is completed and records are closed according to the workflow.

TradeSure is a platform workflow and recordkeeping mechanism. It does not remove the contractual responsibilities of Buyer or Supplier under their underlying commercial arrangement.

10 / Contribution

Contribution and commission records

Where an approved commission or contribution-sharing rule applies to a qualifying transaction, Xrupya may record the applicable allocation in its transaction or commission ledger.

  • Contribution may be associated with a Lead Creator, influencer, consultant or other qualifying participant where the applicable rule permits.
  • The applicable percentage or amount is determined by the approved commission rule for the transaction.
  • Commission information may remain private from participants who do not need access to it.
  • Creation of a lead or introduction alone does not guarantee a commission. A qualifying transaction and applicable approved rule may be required.
  • Administrative approval, settlement status and other conditions may affect when a recorded amount becomes payable.
Xrupya may maintain an auditable commercial record of contribution and settlement without exposing protected contributor information to participants who are not entitled to see it.
11 / Protected Information

Controlled identity and confidentiality

Participants must respect the protected nature of information displayed through Xrupya. Public opportunity details are not necessarily the same as private company, buyer or contributor information.

  • Do not scrape, copy, sell, publish or redistribute protected participant information.
  • Do not attempt to identify a protected buyer or contributor through improper means.
  • Do not use contact information obtained through Xrupya for unrelated marketing or solicitation without an appropriate basis.
  • Do not bypass platform controls to obtain information that is intentionally restricted.
  • Once information is legitimately released as part of an approved transaction, it must still be handled responsibly and lawfully.
12 / User Conduct

Prohibited activity

You must not use Xrupya to:

  • Submit fraudulent, deceptive, unlawful or deliberately misleading information.
  • Manipulate quotations, rankings, offers, transaction records or feedback.
  • Interfere with another participant's account or access.
  • Attempt unauthorised access to databases, systems or restricted information.
  • Use automated methods to abuse, overload or extract protected platform information.
  • Misrepresent affiliation, authority, company identity, product availability or commercial capability.
  • Use the platform for unlawful, abusive, threatening or harmful activity.
13 / Commercial Charges

Fees, payments and transaction amounts

Where Xrupya applies platform fees, commissions or other charges, the applicable amount or rule may be presented through the relevant commercial workflow or agreement.

Buyer and Supplier remain responsible for the prices, taxes, delivery, payment terms and other commercial obligations they agree to in their underlying transaction.

Xrupya may maintain records of applicable charges, commission allocations and settlement status for administrative and audit purposes.

14 / Ownership

Intellectual property and platform content

Xrupya's website, software, branding, visual design, text, workflows and platform materials may be protected by intellectual-property and other applicable laws.

You may use the platform only for its intended business purpose. You must not reproduce, modify, distribute, reverse engineer, commercially exploit or create derivative services from protected platform materials except where expressly permitted by law or by written authorisation.

15 / Responsibility

Business decisions and limitation of responsibility

Participants are responsible for their own commercial decisions, due diligence, contracts, products, services, quotations, orders, payments and performance.

Xrupya provides the platform and protected workflow but does not guarantee the quality, legality, availability, financial capacity or performance of any Buyer, Supplier, Contributor or other participant.

To the extent permitted by applicable law, Xrupya is not responsible for losses arising solely from a participant's independent business decision, inaccurate information supplied by another participant, supplier non-performance, buyer non-payment or events outside Xrupya's reasonable control.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
16 / Platform Control

Suspension, restriction and termination

Xrupya may suspend, restrict or terminate access where reasonably necessary for security, verification, fraud prevention, legal compliance, misuse, breach of these Terms or protection of the platform and its participants.

Administrative action may also be required when a company profile remains incomplete, verification fails, an opportunity is not suitable for publication or a transaction requires investigation.

Suspension does not automatically erase transaction, audit, security or legal records that Xrupya is required or reasonably entitled to retain.

17 / General Terms

Governing terms and changes

These Terms are intended to be interpreted with the other applicable Xrupya policies, workflow notices and commercial agreements that govern a particular transaction.

Xrupya may update these Terms when its services, workflows, technology, legal requirements or business practices change. The updated version will be published with a revised effective date where appropriate.

Applicable governing law and jurisdiction should be confirmed in the final legal version of these Terms before publication.
